Epic, new celebration for fans of all ages to take place select summer nights June 15th through August 4th!

Discovery Global Themed Entertainment, debuts an all-new summertime event, the DC Heroes & Villains Fest. The epic new celebration will take place on select Saturdays and Sundays, June 15 through August 4 from 5:00pm – 9:00pm. Theme Park Transforms into a Magical Winter Wonderland Starting November 23rd!

Six Flags Magic Mountain, the undisputed Thrill Capital of the World, lights up the holiday season with the park’s 9thAnnual Holiday in the Park, on select days from November 23 through December 31. Beginning at 5:00pm, the magic of the season takes over as the park transforms into a dazzling winter wonderland with more than two million twinkling lights amidst a thrilling collection of world-class coasters and family attractions, visits with Santa, festive treats and more. Cedar Fair and Six Flags to Combine in Merger of Equals, Creating a Leading Amusement Park Operator!

Nov 1st I see all kinds of post about Six Flags/ Cedar Fair Merger???? I usually wait for some official report and here it is! Well I don’t know what to think about it, XM Radio and Sirius Sat Radio did the same thing 10 or so years ago, what happened was you got more channels, DJs, and shows from both brands, and the name changed! Im assuming something like this will happen with SF and CF. Usually when something like this happens, it means one or both companies are in need of help. With how high and fast prices have been going up, I see this happening with a lot with companies (outside of theme parks) that are having a hard time trying to keep up. Rasing prices will only help you so much, you also need people to keep buying and spending. We’ll see what happens! Down below is from the official Cedar Fair website I will put the link down below. SANDUSKY, Ohio & ARLINGTON, Texas–(BUSINESS WIRE)– Cedar Fair (NYSE: FUN) and Six Flags Entertainment Corporation (NYSE: SIX) today announced that they have entered into a definitive merger agreement to combine in a merger of equals transaction. The combined company, with a pro forma enterprise value of approximately $8 billion based on both companies’ debt and equity values as of October 31, 2023, will be a leading amusement park operator in the highly competitive leisure space with an expanded and diversified footprint, a more robust operating model and a strong revenue and cash flow generation profile.

Under the terms of the merger agreement, which has been unanimously approved by the Boards of Directors of both companies, Cedar Fair unitholders will receive one share of common stock in the new combined company for each unit owned, and Six Flags shareholders will receive 0.5800 (the “Six Flags Exchange Ratio”) shares of common stock in the new combined company for each share owned. Following the close of the transaction, Cedar Fair unitholders will own approximately 51.2%, and Six Flags shareholders will own approximately 48.8%, of the combined company’s fully diluted share capital on a pro forma basis. One business day prior to the close of the transaction, Six Flags will declare a special cash dividend composed of: (i) a fixed amount of $1.00 per outstanding Six Flags share, totaling approximately $85 million in the aggregate, plus, (ii) an amount per outstanding Six Flags share equal to (a) the aggregate per unit distributions declared or paid by Cedar Fair to unitholders with a record date following today’s date and prior to the close of the transaction, multiplied by (b) the Six Flags Exchange Ratio, which special dividend will be payable to Six Flags shareholders of record as of one business day prior to the close of the transaction, contingent on the closing of the transaction.

  • A Successful Amusement Park Operator with Complementary Portfolio of Attractive Assets: The combined company will operate a portfolio of 27 amusement parks, 15 water parks and 9 resort properties across 17 states in the U.S., Canada, and Mexico. The company’s complementary portfolio will include some of the most iconic parks in North America with significant brand equity and loyal, recurring guest bases within the highly competitive leisure space. The combined company will also have entertainment partnerships and a portfolio of beloved IP such as Looney Tunes, DC Comics and PEANUTS to develop engaging new attractions enabled by compelling characters, environments, and storytelling.
  • Diversified Footprint and Guest Experiences: Cedar Fair and Six Flags have minimal market overlap of park operations, and the combined company’s complementary geographic footprint is expected to mitigate the impact of seasonality and reduce earnings volatility through a more balanced presence in year-round operating climates. The portfolio will include diversified experiences for guests including safaris and animal experiences, campgrounds, sports facilities and luxury lounges, enabling the combined company to better meet rising consumer demand for varied and engaging entertainment options.
  • Enhanced Operating Platform to Improve Guest Experiences: By uniting Cedar Fair and Six Flags’ complementary operating capabilities, the combined company will benefit from a more robust operating platform for improved park offerings and more efficient systemwide performance. The companies expect to leverage Cedar Fair’s recent park investment experience to accelerate the transformation underway across Six Flags’ portfolio. Cedar Fair and Six Flags will seek to create a more engaging and immersive guest experience. The combined company will also offer expanded park access to season pass holders along with an enhanced, combined loyalty program featuring additional perks.
  • Experienced and Proven Leadership Team: The senior leadership teams of Six Flags and Cedar Fair bring different and complementary skillsets and experience to the combined company, including decades of park operating experience as well as significant expertise integrating businesses and achieving synergy targets.
  • Significant Cost Savings and Revenue Uplift Opportunity: Following the close of the transaction, Cedar Fair and Six Flags expect the combined company will benefit from the significant value created by total anticipated annual synergies of $200 million. Approximately $120 million of these synergies are expected to be related to identified administrative and operational cost savings, which the companies anticipate realizing within two years following transaction close. The companies also expect to leverage their complementary operating capabilities to deliver additional revenue uplift, generating approximately $80 million of incremental EBITDA that the companies anticipate realizing within three years of transaction close.
  • Strong Financial Profile: Over the last 12 months, through the third quarter of fiscal 2023, Six Flags and Cedar Fair collectively entertained 48 million guests, and, as a combined company, would generate pro forma $3.4 billion1 in revenue, $1.2 billion1 in Adjusted EBITDA2, and $826 million1,3 of free cash flow4, reflecting run rate cost savings of $120 million and revenue uplift resulting in $80 million of incremental EBITDA. The transaction is expected to be accretive to earnings per share for Cedar Fair unitholders and Six Flags shareholders within the first 12 months following transaction close. The combined company is also expected to have a pro forma leverage ratio of approximately 3.7x net debt to Adjusted EBITDA, inclusive of synergies, with a path to reduce the leverage ratio to approximately 3.0x within two years of transaction close.
  • Significant Free Cash Flow Generation and Enhanced Financial Flexibility: The combined company’s increased free cash flow will provide it with greater flexibility to invest in new rides and attractions, broader food and beverage selections, additional in-park offerings, and cross-park initiatives, such as consumer technology and enhanced guest services. The combined company’s resources are expected to be strategically deployed to grow attendance, increase per capita spending, and improve profitability, all while enhancing guests’ value and experience across the park portfolio. Leadership, Corporate Governance and Headquarters

The combined company will be led by a proven management team that reflects the strengths and capabilities of both organizations. Upon closing of the transaction, Richard Zimmerman, President and Chief Executive Officer of Cedar Fair, will serve as President and Chief Executive Officer of the combined company and Selim Bassoul, President and Chief Executive Officer of Six Flags, will serve as Executive Chairman of the combined company’s Board of Directors. Brian Witherow, Chief Financial Officer of Cedar Fair, will serve as Chief Financial Officer of the combined company and Gary Mick, CFO of Six Flags, will serve as Chief Integration Officer of the combined company.

Following closing of the transaction, the newly formed Board of Directors of the combined company will consist of 12 directors, six from the Cedar Fair Board and six from the Six Flags Board.

Upon closing of the transaction, the combined company will operate under the name Six Flags and trade under the ticker symbol FUN on the NYSE and will be structured as a C Corporation. The combined company will be headquartered in Charlotte, North Carolina, and will maintain significant finance and administrative operations in Sandusky, Ohio.

Approvals and Closing

The merger is expected to close in the first half of 2024, following receipt of Six Flags shareholder approval, regulatory approvals, and satisfaction of customary closing conditions. Approval by Cedar Fair unitholders is not required. Six Flags’ largest shareholder, which owns approximately 13.6% of Six Flags’ shares outstanding, has signed a voting and support agreement to vote in favor of the transaction. The transaction is not expected to trigger any change of control provision under Cedar Fair’s and Six Flags’ respective outstanding Notes. The companies expect to refinance their respective revolving credit facilities, and Six Flags expects to refinance the Six Flags Term Loan, ahead of transaction close.

Fright Fest At Six Flags Magic Mountain Returns Scarier Than Ever!

Six Flags Magic Mountain’s 29th season of Fright Fest is back with 23 terrifying nights of monsters, ghouls, and creepy characters ready to strike fear in any one who crosses their path. The bone-chilling lineup of attractions features a daunting new haunted house, two new spine-tingling scare zones, an ominous new show, and a new haunted happy hour. Six Flags Magic Mountain leaves no tombstone unturned to deliver what guests want most—an all-out terrifying experience, on select nights September 10 through October 31.

Fright Fest, presented by Snickers®, boasts a grand total of 14 electrifying haunted houses and dare-to-enter scare zones with nightmarish zombies lurking around every corner. Six Flags Magic Mountain also adds a sinister element to some of the park’s monster coasters by turning off the lights, leaving riders to face their fears in total darkness. And, for the little monsters, BooFest offers frightfully fun family activities during the day with a Trick-or-Treat Trail in Bugs Bunny World.

“We couldn’t be more excited to bring this legacy Halloween event back to the park. Six Flags Magic Mountain’s Fright Fest is upping the scare factor with an all-new haunted house, two new scare zones, an eerie new show, plus a new haunted happy hour and buffet,” said Park President Don McCoy. “Spooky season is back in Los Angeles, and Fright Fest is the scariest event in town!” added McCoy.

Highlights of this year’s new Fright Fest lineup include:

  • Truth or Dare – A haunted facility that leaves guests questioning their every move, with never-before-done scares and effects in a warped game of Truth or Dare. Located near Full Throttle;
  • Devil’s Triangle – The deepest, darkest depths of the ocean haunted by the many souls lost to the Devil’s triangle, who prey on guests as they enter the park;
  • CarnivHELL – One of the largest scare zones in the park featuring the carnivorous band of carnies from a once-thriving circus. Located in Bugs Bunny World, step right up and enter if you dare;
  • The Rising – An ominous show set on the remains of a sunken pirate ship revealing the battle of good versus evil and the power of the demonic Devil’s Claw. Located in the Devil’s Triangle; and
  • Spirits with Spirits – An evening of monstertainment featuring music, spirits of both natures, and devilish treats located in the West Picnic Pavilion. Plus, don’t miss other ghoulish grub only available during Fright Fest at select locations around the park.

Popular returning haunted houses and mazes that incorporate state-of-the-art makeup, props, and special effects, include:

  • Willoughby’s Resurrected is where evil spirits roam the once-affluent Willoughby’s Family mansion;
  • Condemned – Forever Damned is full of horrific haunts of a dilapidated home where the walls are alive and the spirits of those who once lived there unleash their fury on anyone who dares enter;
  • Vault 666 Unlocked is where demonic relics are locked in a dark and sinister antique shop, casting spells and haunting those who try and steal them;
  • Sewer of Souls takes guests into an underground world of lost souls and terrifying tunnels where evil oozes; and
  • Aftermath 2: Chaos Rising is the region’s largest outdoor maze, covering more than 40,000 square feet where the spirits of the dead and the near-dead inhabit a post- apocalyptic city with larger-than-life props, fire, fog, and other special effects.Additional scare zones around the park which leave guests nowhere to hide and screaming to get out unscathed include:
  • The Deadzone unleashes a renegade group of cyberpunk zombies that feed on unsuspecting visitors;
  • Terror Rising – Dark Developments haunts guests for all eternity as their worst nightmares rise up from the depths of hell and prey on the innocent who dare to enter this abandoned cemetery;
  • City Under Siege is full of clowns who are loose and running rampant through the streets;
  • TERRORtory Twisted is home to steam-spewing mechanical beasts who relentlessly hunt down their victims;
  • Nightmares – A Twisted Fantasy is where childhood favorite bedtime stories take on a perverse twist; and
  • Exile Hill makes guests freak out when unimaginable sinister souls appear without warning.More spooktacular shows include:

A One-of-a-Kind Experience that Connects Guests to See and Learn More About Animal Care and Recues Through Up-Close Opportunities

Starting this weekend, guests are invited to an up-close and inspiring special event to see and learn more about animal care with the experts at SeaWorld® San Diego’s Inside Look event taking place on Saturdays and Sundays, Jan. 8 – 30. This unique event will give guests an ‘inside look’ to learn more about the dedicated animal care and what it takes to maintain a premier zoological institution like SeaWorld San Diego. Through engaging educational opportunities, guests will participate in exclusive meet-and-greets and special access that will be available throughout the event to help build a deeper understanding and appreciation for the natural world we all share. 

In addition to the beloved Orca Encounter offered daily, the park will host an exclusive Orca presentation for Inside Look, demonstrating the H.E.L.P.P.R. (Husbandry, Exercise, Learning, Play, Presentation and Relate) philosophy that the SeaWorld animal care team embodies, and the incredible connection created between the Animal Care Specialists and orcas. Guests can arrive early to the Sea Lions Live and Dolphin Days shows for special 10-minute presentations where they will learn more about the day-to-day care the dedicated animal care teams provide to these animals, how they cultivate behaviors and bonds, and how the work being done at SeaWorld benefits these species in the wild. Additionally, knowledgeable Education and Zoological Ambassadors will hold talks throughout the day at exhibits across the park, including Wild Arctic, Flamingos, Penguin Encounter, Otter Outlook, and Sea Lion Point, and share stories of personal connections, animal insights and Q&A discussions directly from the dedicated specialists who care for these animals every day. 

“Inside Look is an extremely unique opportunity for guests to connect with these amazing animals and allows us to showcase the work being done by our dedicated Animal Care and Rescue Teams on a daily basis. Our team works closely with these animals every day which has built trust over many years. During this event we will share how these special relationships are cultivated and some of our favorite memories with our guests,” said Stephanie Costelow, SeaWorld Vice President of Zoological Operations. “From daily educational presentations to the more than 39,000 rescues our SeaWorld Rescue team has completed, we hope that through our efforts, we are able to teach and inspire others to take actions that help protect wild animals and wild places.”

For an in-depth look at SeaWorld’s history of animal care, guests can visit the Inside Look Event Hub at Mission Bay Theater to participate in engaging conversations with zoological experts. They can also view curated episodes of the award-winning SeaWorld® Sea Rescue TV series, along with hosted trivia and park history. At Mission Bay Theatre, guests will also encounter the SeaWorld Up-Close exhibit featuring displays of equipment and wetsuits used by the Rescue Team and unique items from the park’s great 55-year history. 

Inside Look will spotlight conservation organizations in the local community that SeaWorld partners with, such as the Wolf Education Project among others. Nautilus Amphitheater will feature weekend presentations with dynamic guest speakers and animal ambassadors, each with a unique tie to SeaWorld. Speakers include renowned local artist Stephen Fishwick, Jackson Conservation Ambassadors and more.Guests can partake in a fascinating tour that takes them behind the scenes of an incredible engineering structure that maintains the crucial water quality at the park, demonstrating the link between the ocean and SeaWorld.

To further enhance their Inside Look experience, guests can choose to purchase an Inside Look Scavenger Hunt map that encourages people of all ages todiscover new things about SeaWorld San Diego by matching stickers with points of interest around the park and redeem completed maps for a very special SeaWorld prize.

Inside Look is included with park admission, with opportunities for upgrades. Animals, caregivers, and activities in each area of Inside Look may differ day to day. Events and times are subject to change.

  • Emperor Coaster: Opening in March
    Emperor will be the tallest, fastest, and longest dive coaster in California, as well as the only floorless dive coaster in the state. Named after the world’s largest penguin, the new coaster will mimic this species’ incredible underwater diving ability.
  • Seven Seas Food Festival: March 4-May 1 (Fridays, Saturdays and Sundays)
    SeaWorld is bringing back international flavors, amazing beverage tastings and live music performances with the return of Southern California’s fan favorite Seven Seas Food Festival. In addition to hundreds of tasty bites and delicious drinks, guests can enjoy live music and their favorite animal exhibits, including dolphins, sea lions, bat rays, flamingos, sea otters, and more.
