Nov 1st I see all kinds of post about Six Flags/ Cedar Fair Merger???? I usually wait for some official report and here it is! Well I don’t know what to think about it, XM Radio and Sirius Sat Radio did the same thing 10 or so years ago, what happened was you got more channels, DJs, and shows from both brands, and the name changed! Im assuming something like this will happen with SF and CF. Usually when something like this happens, it means one or both companies are in need of help. With how high and fast prices have been going up, I see this happening with a lot with companies (outside of theme parks) that are having a hard time trying to keep up. SANDUSKY, Ohio & ARLINGTON, Texas–(BUSINESS WIRE)– Cedar Fair (NYSE: FUN) and Six Flags Entertainment Corporation (NYSE: SIX) today announced that they have entered into a definitive merger agreement to combine in a merger of equals transaction. The combined company, with a pro forma enterprise value of approximately $8 billion based on both companies’ debt and equity values as of October 31, 2023, will be a leading amusement park operator in the highly competitive leisure space with an expanded and diversified footprint, a more robust operating model and a strong revenue and cash flow generation profile.
Under the terms of the merger agreement, which has been unanimously approved by the Boards of Directors of both companies, Cedar Fair unitholders will receive one share of common stock in the new combined company for each unit owned, and Six Flags shareholders will receive 0.5800 (the “Six Flags Exchange Ratio”) shares of common stock in the new combined company for each share owned. Following the close of the transaction, Cedar Fair unitholders will own approximately 51.2%, and Six Flags shareholders will own approximately 48.8%, of the combined company’s fully diluted share capital on a pro forma basis. One business day prior to the close of the transaction, Six Flags will declare a special cash dividend composed of: (i) a fixed amount of $1.00 per outstanding Six Flags share, totaling approximately $85 million in the aggregate, plus, (ii) an amount per outstanding Six Flags share equal to (a) the aggregate per unit distributions declared or paid by Cedar Fair to unitholders with a record date following today’s date and prior to the close of the transaction, multiplied by (b) the Six Flags Exchange Ratio, which special dividend will be payable to Six Flags shareholders of record as of one business day prior to the close of the transaction, contingent on the closing of the transaction.

A Successful Amusement Park Operator with Complementary Portfolio of Attractive Assets: The combined company will operate a portfolio of 27 amusement parks, 15 water parks and 9 resort properties across 17 states in the U.S., Canada, and Mexico. The company’s complementary portfolio will include some of the most iconic parks in North America with significant brand equity and loyal, recurring guest bases within the highly competitive leisure space. The combined company will also have entertainment partnerships and a portfolio of beloved IP such as Looney Tunes, DC Comics and PEANUTS to develop engaging new attractions enabled by compelling characters, environments, and storytelling.
Diversified Footprint and Guest Experiences: Cedar Fair and Six Flags have minimal market overlap of park operations, and the combined company’s complementary geographic footprint is expected to mitigate the impact of seasonality and reduce earnings volatility through a more balanced presence in year-round operating climates. The portfolio will include diversified experiences for guests including safaris and animal experiences, campgrounds, sports facilities and luxury lounges, enabling the combined company to better meet rising consumer demand for varied and engaging entertainment options.
Enhanced Operating Platform to Improve Guest Experiences: By uniting Cedar Fair and Six Flags’ complementary operating capabilities, the combined company will benefit from a more robust operating platform for improved park offerings and more efficient systemwide performance. The companies expect to leverage Cedar Fair’s recent park investment experience to accelerate the transformation underway across Six Flags’ portfolio. Cedar Fair and Six Flags will seek to create a more engaging and immersive guest experience. The combined company will also offer expanded park access to season pass holders along with an enhanced, combined loyalty program featuring additional perks.
Experienced and Proven Leadership Team: The senior leadership teams of Six Flags and Cedar Fair bring different and complementary skillsets and experience to the combined company, including decades of park operating experience as well as significant expertise integrating businesses and achieving synergy targets.
Significant Cost Savings and Revenue Uplift Opportunity: Following the close of the transaction, Cedar Fair and Six Flags expect the combined company will benefit from the significant value created by total anticipated annual synergies of $200 million. Approximately $120 million of these synergies are expected to be related to identified administrative and operational cost savings, which the companies anticipate realizing within two years following transaction close. The companies also expect to leverage their complementary operating capabilities to deliver additional revenue uplift, generating approximately $80 million of incremental EBITDA that the companies anticipate realizing within three years of transaction close.
Strong Financial Profile: Over the last 12 months, through the third quarter of fiscal 2023, Six Flags and Cedar Fair collectively entertained 48 million guests, and, as a combined company, would generate pro forma $3.4 billion1 in revenue, $1.2 billion1 in Adjusted EBITDA2, and $826 million1,3 of free cash flow4, reflecting run rate cost savings of $120 million and revenue uplift resulting in $80 million of incremental EBITDA. The transaction is expected to be accretive to earnings per share for Cedar Fair unitholders and Six Flags shareholders within the first 12 months following transaction close. The combined company is also expected to have a pro forma leverage ratio of approximately 3.7x net debt to Adjusted EBITDA, inclusive of synergies, with a path to reduce the leverage ratio to approximately 3.0x within two years of transaction close.
Significant Free Cash Flow Generation and Enhanced Financial Flexibility: The combined company’s increased free cash flow will provide it with greater flexibility to invest in new rides and attractions, broader food and beverage selections, additional in-park offerings, and cross-park initiatives, such as consumer technology and enhanced guest services. Leadership, Corporate Governance and Headquarters
The combined company will be led by a proven management team that reflects the strengths and capabilities of both organizations. Upon closing of the transaction, Richard Zimmerman, President and Chief Executive Officer of Cedar Fair, will serve as President and Chief Executive Officer of the combined company and Selim Bassoul, President and Chief Executive Officer of Six Flags, will serve as Executive Chairman of the combined company’s Board of Directors. Brian Witherow, Chief Financial Officer of Cedar Fair, will serve as Chief Financial Officer of the combined company and Gary Mick, CFO of Six Flags, will serve as Chief Integration Officer of the combined company.
Following closing of the transaction, the newly formed Board of Directors of the combined company will consist of 12 directors, six from the Cedar Fair Board and six from the Six Flags Board.
Upon closing of the transaction, the combined company will operate under the name Six Flags and trade under the ticker symbol FUN on the NYSE and will be structured as a C Corporation. Approvals and Closing
The merger is expected to close in the first half of 2024, following receipt of Six Flags shareholder approval, regulatory approvals, and satisfaction of customary closing conditions. Approval by Cedar Fair unitholders is not required. Six Flags’ largest shareholder, which owns approximately 13.6% of Six Flags’ shares outstanding, has signed a voting and support agreement to vote in favor of the transaction. The transaction is not expected to trigger any change of control provision under Cedar Fair’s and Six Flags’ respective outstanding Notes. The companies expect to refinance their respective revolving credit facilities, and Six Flags expects to refinance the Six Flags Term Loan, ahead of transaction close.

Enjoy the spooktacular Halloween season at Knott’s Spooky Farm, a family-friendly Halloween celebration. Families can join in on the ghoulish fun as the park transforms with themed décor and wicked fun around every corner. The Fall Season of Fun offers Halloween-themed activities that celebrate the season, including trick-or-treating, a lineup of original shows, and pumpkin decorating. Kids can participate in a memorable trick-or-treating experience in the spooky streets of Ghost Town, where they will interact with an array of spooky but friendly shopkeepers and show off their festive Halloween costumes. Guests can also visit the Livery Stable to get close and personal with the Creepy Critters of Calico. Spiders, bugs, and more await at our Creepy Critters Corral. Whimsical jack-o-lanterns surround Calico Park as it changes into an enchanting Pumpkin Patch location for families to enjoy the season’s atmosphere with photo ops. Guests can get in the spirit by decorating their very own themed cookie or pumpkin right in the heart of Ghost Town. Miniature pumpkins or Halloween cookies will be available for a nominal fee. Little ghouls are also encouraged to strut their stuff and show off their Halloween Costumes in the Calico Carnival Costume Cavalcade hosted by some of your favorite town citizens at the Calico Mine Stage. Also at the Calico Mine Stage, Krazy Kirk and the Hillbillies are back for a country concert like no other, with plenty of high-energy music and comedy on tap.
Gals and ghouls are in for a treat as the Bob Baker Marionette Theatre Show is back with their Halloween-themed show at Birdcage Theatre. These peculiar puppeteers will amaze all with a spooky puppet show that will have little ones and adults entertained all day. The residents of The Timber Mountain Log Ride will celebrate the Halloween Hootenanny, which adds a family-friendly seasonal twist to a park favorite. The fun continues for little ones at the Calico Mine Ride as it undergoes a fantastical transformation into a candy wonderland!

Guests Can Expect Nostalgic Nods to the Past and Wicked New Mazes!
It all started in 1973 as a fun three-day Halloween Haunt. Today, 50 years later, Knott’s Scary Farm is Southern California’s longest-running and most haunting Halloween theme park event. With five decades of never-ending nightmares, unimaginable scares, and innovative thrills, Knott’s Scary Farm has left no tomb unearthed, no crypt unrattled, and no fear untouched.
This golden anniversary’s lineup includes three new frightening mazes (for a total of 10), five sinister scare zones and four hair-raising shows. Guests can expect to uncover unforgettable experiences that will usher in characters from Haunt history. The 50th year of Knott’s Scary Farm starts on September 21 and runs through October 31, for a total of 29 terrifying nights.
There will be nowhere to hide as hair-raising scares loom around every turn, with the debut of our newest terrifying mazes, a newly reimagined fan-favorite scare zone, and a gruesome lineup of new shows. These new haunting experiences add to the original scares that can’t be found anywhere else.
New Offerings Cinema Slasher (Maze) – Venturing through the mystical Midnight Theater, guests travel through the silver screen and into a trilogy of slasher movies. As they are swallowed into the world of gothic horror, they become the movie characters who try to escape the wrath of the dangerous Slasher. Will everyone survive, or will they become forever ensnared in the decaying reality from a bygone era? The conniving Midnight Theater wickedly opens its doors, daring those brave enough to buy a ticket to Cinema Slasher!
The Chilling Chambers (Maze) – In honor of the first maze in Knott’s Scary Farm’s prestigious history, the “10 Chilling Chambers” is a ghastly new attraction that gives a nostalgic nod to Scary Farm’s past while terrorizing the audience of today. Guided by The Keeper, the sinister caretaker of the conservatory of horrors, guests are thrust beyond the threshold of an ominous towering cathedral that leads to terrifying classic maze themes from Knott’s Scary Farm’s infamous history. Scream from countless fears of seasons gone by as 50 years of terror are unleashed in The Chilling Chambers.
Room 13 (Maze) – Violent murders at The Blind Tiger interrupt the Prohibition-era revelry on Memory Lane. A dangerously delicious new cocktail named The Devil’s Elixir seems to be at the root of the mayhem, but where did the mysterious green aperitif come from? The answers may lie at the heart of the extravagant Argive Hotel, where many have checked in to Room 13… but none have checked out.
The Gauntlet (Scare Zone) – In this reimagined version of the fan favorite, classic characters return to invade Camp Snoopy, but with an updated twist. Guests will again encounter the King and Queen of the realm, maniacal jesters, brutal barbarians, wicked wizards, and lawless peasants. They’ve all returned with an onslaught of fresh terror. All Hail the King or suffer the wrath of The Gauntlet!
Dr. Cleaver Returns (Show) – Your favorite demented doctor is back for more Halloween hijinks! Grab a seat at the world-famous Bird Cage Theatre for a wicked journey into the great beyond.
The Hanging: Uncancelled (Show) – The Lawman has returned to track down the vilest villains of the past year in this pop culture parody stunt extravaganza. No one is safe when the gates of the Wagon Camp swing open.
Music, Monsters & Mayhem (Show) – “Music, Monsters and Mayhem” takes you on a scintillating and provocative musical journey celebrating 50 years of terror and frights. Featuring a rockin’ score, wild laughs, and a cast of singing and dancing monstrosities bound to get your heart racing with screams of delight!
Returning Mazes Bloodline 1842 (Maze) – Enter the battlegrounds of the war-torn streets of the city of Valdonia as you take a perilous journey into the heart of a raging war between the immortal Daybreakers and the bloodthirsty Valhymphri. Armed with only your wits and courage, find the remaining Daybreakers and help them destroy the King of the Valhymphri.
The Grimoire (Maze) – Turn the page and enter the world of an ancient relic whose dark stories exist purely to turn your greatest nightmares into reality. Enter the world of a mysterious spell book and escape the demonic creatures inside or be eternally trapped within!
Mesmer: Sideshow of the Mind – Within the canvas tent lies the secret of the most potent force in the universe: the human mind. A hypnotic session with Professor Mesmer can cure all phobias, including snakes, spiders, darkness, claustrophobia and much more! Enter the professor’s dark world of hypnosis and come face to face with what lies beyond.
Wax Works – Buy a ticket and enter the most amazing wax museum the world has ever seen! The figures look so lifelike you’ll swear you saw them move…or scream. It’s rumored that blood-curdling screams can be heard echoing through the halls of Wax Works as victims are horrifyingly submerged into a scorching hot cauldron of bubbling wax.
Origins: The Curse of Calico – Pierce the veil of time and discover the secret of the evil fog that hangs over Knott’s Scary Farm in Origins: The Curse of Calico. Unearth the sinister paranormal activity that plagues the town as Sarah Marshall is put on trial for her suspected crimes of witchcraft. All will be revealed as the Green Witch rises and curses those who have accused her.
The Depths – Follow in the steps of a doomed mining team as you plunge deeper and deeper into the catacombs beneath the sinister seaside town. All who have entered have never resurfaced. Myths of the terrifying horrors that lurk within the cave have often been whispered but never confirmed. But be warned, as this is your last chance to walk this treacherous path through a sunken ship and into the dark unknown that lies beyond.
Dark Entities – Teleport beyond Earth in a shattered space station, launching you through a zero-gravity descent into chaos. Strange forces have taken over, and the crew has been transformed into multi- dimension mutants. Escape quickly, as the dark entities plan to eliminate all living forms aboard the station for good. Step back into the dark decadence of a bygone era as The Gore-ing 20’s scare zone terrorizes even the bravest and most brutal souls. The revelers at The Blind Tiger, the secret speakeasy on Memory Lane, danced their way into oblivion when their decadence brought upon them a deadly curse. Now, once a year, these wicked spirits of the past are allowed to haunt visitors with their deadly dance.
Step right up and come face to face with your worst nightmares on the Boardwalk. Deviant clowns and circus freaks are dying for your undying attention in the CARNEVIL scare zone. Smell the cotton candy as the maniacal midway monsters close in on you.
The Lake underneath Silver Bullet recedes to reveal the Forsaken Lake scare zone, where gothic creatures ravaged by the dark and murky waters wander from their crypts. Mysterious creatures of Timber Mountain that live out in the woods and caverns join the citizens as they honor the season at the Halloween Hootenanny. The Ride’s interior features surprises as guests venture past the Calico Coffin Creeper band, the town’s green witch, and splash down Skull Mountain through a labyrinth of jack-o-lanterns all set to an original soundtrack by Krazy Kirk and the Hillbillies.
Into The Fog: A Scary Farm Tribute Art Show – The Factory Store Into the Fog is an art show specially curated for the discerning Scary Farm fan. The show is home to a collection of original art by unique and talented artists from across the country. Event Parking – All season-long parking is valid for Knott’s Scary Farm nights. Knott’s Scary Farm General parking is $35 per vehicle and can be purchased online or at the parking booth upon arrival. Event Details
Knott’s Scary Farm has welcomed millions of visitors for 50 years of never-ending nightmares and has become an institution in the Southern California theme park landscape. This year, the event returns on September 21, 22, 23, 24, 28, 29, 30, October 1, 4, 5, 6, 7, 8, 11, 12, 13, 14, 15, 18, 19, 20, 21, 22, 25, 26, 27, 28, 29 and 31. Knott’s Scary Farm is open 7:00 pm – 2:00 am on Fridays and Saturdays and 7:00 pm – 1:00 am on select Wednesdays, Thursdays, and Sundays. Due to the explicit and frightening nature of the event, it is not recommended for children under 13.
A chaperone policy will remain in effect for all Knott’s Scary Farm event nights. Under this policy, all guests ages 15 years old or younger must be accompanied by a chaperone who is at least 21 years old in order to be admitted into the park. The chaperone must present a valid government-issued photo identification with date of birth at ticket entry. One chaperone may accompany no more than ten guests ages 15 or younger per day. In addition, the chaperone must accompany their party during entry, remain inside the park during their visit, and be available by phone throughout their stay. Guests 16 years of age or older may be asked to present a valid government-issued photo identification (Driver’s license, State Issued ID Card, Passport) with date of birth at entry to verify their age. If unable to verify proof of age, guests may be denied entry into the park. Guests ages 15 years old or younger who are found inside the park unaccompanied by a chaperone will be subject to ejection.
In addition, an updated bag policy will remain in effect for this year’s Knott’s Scary Farm. Clear plastic bags smaller than 12” x 12” x 6” as well as non-clear wristlets or clutches no larger than 5”x 8”x 2” are allowed at Knott’s Scary Farm. All bags are subject to search prior to entry.

Please proceed to the Western Theme Park Entrance, where all Guests will be subject to a Security Screening. Please secure all unnecessary items in your vehicle before entry. This event will follow our Scary Farm bag policy. Clear plastic bags smaller than 12” x 12” x 6” as well as non-clear wristlets or clutches no larger than 5”x 8”x 2” will be allowed. All bags are subject to search before entry.
Following the screening, please present your ticket at the Western Entrance turnstiles. Every guest must present a special event ticket for entry. This event is sold out, and additional tickets will not be available for purchase. Late arrivals will not be accommodated. This special event permits NO RE-ENTRY.

The night will begin at the Calico Mine Stage at approximately 7 PM. Those unable to attend can view a live broadcast and post-event recording on the Knott’s Berry Farm YouTube channel.

There’s something fun for everyone at Knott’s Berry Farm this Summer. The transformation of the new Fiesta Village will offer another Knott’s original experience with enhanced theming, beautiful décor, authentic food, immersive entertainment, thrilling rides and more starting on May 26. Lively entertainment continues park-wide with the return of Ghost Town Alive! and Summer Nights. Across the street, Knott’s Soak City reopens its gates for another splash-filled summer.
The Reimagined Fiesta Village
Fiesta Village comes alive both day and night to celebrate the Hispanic influences in Southern California. Guests can enjoy the sounds of Mariachi music, encounter a storyteller spinning whimsical tales of the alebrijes, experience performances of the traditional dance Folklorico and be entertained by interactive puppets and their playful antics. Those who venture through the newly landscaped alebrije gardens can meet Fiesta Village’s very own spirit animal friends. As the sun goes down, the fun heats up with an immersive nighttime street party, Calle Celebración, spanning the entire village, celebrating Mexican traditions of family, love and community through color, music, dancing and giant colorful puppets.
Guests can savor the flavors of Fiesta at the new restaurant Casa California with burritos, birria quesadillas and signature tamales. At Cantina Del Sur, plenty of thirst-quenching bebidas will be served. These cold refreshments pair nicely with the delicious fish tacos at the new Baja Taqueria. Papas Mexicanas brings back a wide variety of toppings for crispy french fries, including a park favorite, the carne asada fries. Not only can guests enjoy all these delicious food options in the area, but this summer’s tasting card, Flavors of Summer, has expanded to include Sabor de Fiesta with food festival booths in Fiesta Village serving items such as potato and chorizo tacos, micheladas and elotes.
Guests can stroll down Fiesta Mercado, inspired by Los Angeles’ Olvera Street, and find a variety of merchants with unique and authentic items. New merchandise items inspired by the area include a selection of Chamoy candies, hot sauces and queso. Other additions include carts throughout the village selling wares such as personalized parasols and colorful zarapes.
Those looking for a thrill can enjoy the seven refreshed rides reopening in this area. Take a swing on Los Voladores and fly through the air, similar to the Flyers of Mexico. Climb aboard one of the 48 hand-carved animals in the Carrusel de California and enjoy this timeless ride. Due to construction delays, MonteZOOMa: The Forbidden Fortress will not open with Fiesta Village this summer. An opening date has not been scheduled at this time.
Ghost Town Alive!
Your favorite town of Calico comes to life once again this summer with the return of the award-winning, interactive Ghost Town Alive! Guests are invited to become the star of this summer’s new action-packed storyline in the streets of Ghost Town. Each guest has the power to unlock secret missions with characters, influence the day’s events, and take on mind-challenging puzzles in this immersive version of the Old West. Ghost Town Alive! will offer new adventures, roles and characters this summer on select days starting May 26.
Knott’s Summer Nights
A summer favorite continues after the sun goes down, with a nighttime summer party that extends the fun into the evening. Guests will have the opportunity to enjoy bands from the local music scene that rotate throughout the event on two stages. Knott’s Summer Nights transforms Calico Park into a neighborhood party like no other with a hub of live music, relaxing atmosphere, Instagram-able photo opportunities and family-friendly games.
A summer party is not complete without an abundance of food and drinks, and no theme park does food quite like Knott’s. The Knott’s culinary team creates tasty twists to classic summer dishes, from Sea Salt Caramel Iced Coffee, BLTA Chicken Salad Lettuce Wraps and Mexican Pineapple Pork Sandwiches. Knott’s Soak City
Make your own waves with a visit to Knott’s Soak City Waterpark starting select dates May 20 through September 10. Guests can catch a ride down 23 different speed, tube, and body slides or take a relaxing trip down one of the longest lazy rivers in the country. The 15-acre water park has something for each member of the family, an interactive kid’s area, and for those more adventurous, The Wedge, a rip-roaring raft ride.

National Boysenberry Day, April 3rd!
All the rain has made the Boysenberries bloom! As a result, Knott’s is extending the Boysenberry Festival three additional weekends. Guests can enjoy the unique boysenberry-inspired food and wine festival daily, now through April 16, and every Friday, Saturday and Sunday April 21-23, April 28-April 30 and May 5-7. National Boysenberry Day: On Monday, April 3, Knott’s Berry Farm is celebrating National Boysenberry Day to commemorate its historical roots and the little berry that started it all, the boysenberry. In 1932 Walter and Cordelia Knott put their stamp on the berry world by being the first to harvest the boysenberry successfully. The Knott family then began selling boysenberry jams, jellies, and preserves, and the popularity of their products later led to the birth of Knott’s Berry Farm. Today all the boysenberries in the world can trace their roots back to Knott’s. To show love to the berry that placed our park on the map, Knotts invites guests to dress their “berry best” with formal, purple-themed outfits for National Boysenberry Day. During the event, guests are encouraged to dress in bowties, gloves, suits or pin-up skirts. Guests entering the park will receive a commemorative National Boysenberry Day button to mark the occasion. At 3pm on the Calico Mine Stage, guests dressed in their berry best will have the opportunity to participate in the Berry Style Stroll to show off their festive outfits and be a part of the special group photo to honor this national holiday.
